Company Commercial Solicitor

We are seeking an experienced Company Commercial Solicitor with approximately 7 years Post-Qualified Experience (PQE) to join our dynamic Corporate & Commercial team. The successful candidate will handle a broad range of corporate and commercial matters, advising SMEs, owner-managed businesses, and larger corporate clients on complex transactional and advisory work.

Responsibilities

Corporate Work

• Advise on and manage a variety of corporate transactions, including:
  • Share and asset acquisitions and disposals
  • Mergers and demergers
  • Management buyouts (MBOs)
  • Private equity investments (if applicable)
  • Corporate reorganisations and restructuring
• Draft, review, and negotiate:
  • Share purchase agreements (SPAs)
  • Shareholders’ agreements
  • Articles of association
  • Disclosure letters and ancillary documents
• Conduct and supervise legal due diligence exercises
• Advise on corporate governance and compliance matters

Commercial Work

• Draft and negotiate a wide range of commercial contracts, including:
  • Supply and distribution agreements
  • Terms and conditions of business
  • Agency and franchising agreements
  • SaaS and technology contracts (if applicable)
• Provide strategic commercial legal advice to clients across various sectors
• Support clients with contract risk management and compliance frameworks

Key Skills

• Qualified Solicitor in England & Wales with approximately 7 years PQE in Company Commercial / Corporate law
• Strong track record in handling corporate transactions independently
• Excellent drafting, negotiation, and analytical skills
• Commercially astute with a practical, solution-focused approach
